Terms of Use

 

I understand that boodle, Inc. d/b/a boodleAI is granting me access to certain services (the “Services”) that boodle, Inc. provides to the charity organization that is supplying my account credentials (the “Subscribing charity“). I also understand that my access to and use of the Services is subject to both the agreement entered into between boodle, Inc. and the Subscribing charity (the “Service Agreement”) and to the following conditions:

PROHIBITED ACTIVITIES
You agree to use this Website, and the features and services it provides, only for the purposes for which they are manifestly intended. All other uses are strictly prohibited. You agree not to – and not to encourage any third party to – disassemble, reverse engineer, or otherwise attempt to discover, copy, or transmit any source code underlying boodle, Inc. boodleAI™ software or the Services.

ACCESS TO SOCIAL AND EMAIL CONTACTS
You agree that boodle, Inc. may, with your consent, obtain information from your email, messaging, social media, or other such accounts (the “Third Party Accounts“) relating to the identities of your contacts, associates, or other persons linked to the Third Party Accounts (the “Contacts“). You further agree that boodle, Inc. may, subject to the Service Agreement, use your Contacts and other information obtained from the Third Party Accounts to provide the Services to you. boodle, Inc. will delete your Contacts when your use of the Services is discontinued.

ACCESS TO DONOR INFORMATION
You acknowledge and agree that the Contacts that you engage through the Service and who subsequently donate to the Subscribing charity will be accessible by the Subscribing charity.

RESTRICTIONS ON USE OF THE SERVICE
You understand that there are restrictions on use of the Services because they contain boodle, Inc. intellectual property and because they need to be safe for others to use, so you agree that you will not:

Impersonate another person or entity, access another user’s account without that user’s permission, enable or allow others to access the Services using your authorization or access rights, share boodle, Inc.’ passwords with any third party, encourage any other user to share his or her boodle, Inc.’ password, or use the Services on behalf of any unauthorized third party

Misrepresent the source, identity, or content of information transmitted via the Services, or use the Services in connection with pornographic, threatening, embarrassing, hateful, racially or ethnically insulting, libelous, or otherwise inappropriate content or behavior.

LIMITATIONS ON BOODLEAI’S LIABILITY
You understand that, to the fullest extent permitted under applicable law, boodle, Inc. will have no liability to you with respect to any use of the Services or reliance upon any of the information obtained through the Services.

INTELLECTUAL PROPERTY
You acknowledge that boodle, Inc. owns and operates the Services, and that the visual interfaces, graphics, design, compilation, information, computer code, products, software (including any downloadable software), services, and all other elements of the Services (the “Materials“) belong to boodle, Inc. and are protected by applicable intellectual property laws. Except as expressly authorized by boodle, Inc., you agree not to sell, license, distribute, copy, download, print, scan, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of the Materials.

REVOCATION OF USE
You understand that your access to the Services may be revoked and your account may be terminated at any point in time and without prior notice and without cause.

CONFIDENTIALITY
All of the information provided through the Services is considered confidential. You agree that you will maintain the information in confidence and will not disclose any of the information to others except as expressly and jointly permitted in writing by the Subscribing Client and boodle, Inc..

NOTIFICATION OF COMPROMISED ACCOUNT
You will notify the Subscribing charity immediately in the event you become aware that the security of your login information has been breached.

SERVICES LIMITED TO THE US
The Services are not intended for use by charity organizations organized under the laws of countries other than those of the United States of America. You represent, warrant, and irrevocably covenant that you will refrain from making financial transactions through the Website if you (i) are located in a country embargoed by the United States or (ii) are on the U.S. Treasury Department’s list of Specially Designated Nationals. If you choose to use the Services, you are solely responsible for compliance with all applicable local laws and consent to having your data transferred, processed, and stored in the United States.

SUBSCRIPTION FEE
Users are not responsible for paying any fees to use the platform. Charities using boodleAI have previously worked out a payment structure with boodle, Inc..

VIOLATIONS
You acknowledge that boodle, Inc. will have the right to investigate and prosecute violations of any of the above to the fullest extent of the law, and that boodle, Inc. may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms of Use. You acknowledge that boodle, Inc. has the right to monitor your access to or use of the Services and to disclose any relevant information in accordance with the boodle, Inc. Privacy Policy, the Service Agreement, and these Terms of Use.

AMENDMENTS
boodle, Inc. may update or change the Terms of Use from time to time. Amendments will only apply prospectively from the date they are published to the Website. We will let you know that the Terms of Use have been updated or changed by publishing the date of the last amendment at the top of this page. You agree that this method of notice is sufficient and that you will regularly check these Terms of Use for updates or changes.

By using the Services you agree to these Terms of Use. If you do not agree to these Terms of Use, do not use the Services.
